I.	 Remedies for Breach of Contract
 Usually both parties to contract for the sale of goods perform the obligations they agreed to in the contract. Occasionally, however, one of the parties to a contract fails to perform his ob ligations. When this happens, the injured party has a variety of remedies for breach of contract. The objective of these remedies is to put the injured person in the same position as if the contract has been performed.

Prof. Treitel (1999) has defined a breach of contract in the following: “a breach of contract is committed when a party without lawful excuse fails or refuses to perform what is due from him under the contract, or performs defectively or incapacitates himself from performing.” It should be noted that in all cases the failure to provide the promised performance must be “without lawful excuse”. Thus, where the contract has been frustrated there is no liability for breach of contract because both parties have been provided with a “lawful excuse” for their non-performance. Similarly, where one party has breached the contract and the breach has given to the other party the right to terminate performance of the contract, that party is not in breach of contract in refusing to continue with performance because he is given “lawful excuse” for his non-performance.


The Drafting of the CISG 

The sales contract is universally recognized as legal mechanism for conducting trade in goods. It is essential to trade because an international agreement to buy and sell goods, like many domestic agreements, takes time to perform. If buyer and seller could fully perform the contract at the moment the agreement was reached, or if every seller handed over the goods when the purchase price was paid, they would not need binding agreements. But few merchants or traders, from any country, would risk entering a potentially risky long-term transaction without a contract. Thus the contract’s importance stems from its embodiment of the agreement of the parties, which provides assurances that each party will perform its part of the bargain. If the agreement breaks down, and obligations of the parties will be based on the law applicable to the case.
